Terms of Service

1. Introduction
Welcome to Rifbid ("we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our Caribbean-based e-procurement platform ("Platform"). By accessing or using our Platform, you agree to comply with and be bound by these Terms. If you do not agree with any part of these Terms, you must not use our Platform.
2. Eligibility
By using our Platform, you represent and warrant that you:
- Are at least 18 years of age.
- Have the legal capacity to enter into a binding contract.
- Will comply with these Terms and all applicable laws and regulations.
3. Account Registration
a. Account Creation
To access certain features of our Platform, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and are liable for all activities conducted under your account.
b. Account Security
You agree to notify us immediately of any unauthorized use of your account or any other security breach. We are not liable for any loss or damage arising from your failure to comply with this obligation.
4. Services Provided
a. E-Procurement Services
Our Platform facilitates electronic procurement services, allowing users to engage in bidding, purchasing, and selling of goods and services.
b. Service Limitations
We reserve the right to modify or discontinue, temporarily or permanently, any part of our services with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuance of services.
5. User Conduct
By using our Platform, you agree not to:
- Violate any applicable laws or regulations.
- Post or transmit any fraudulent, misleading, or unlawful content.
- Infringe upon the rights of others, including intellectual property rights.
- Introduce viruses, malware, or any other harmful code.
- Engage in any activity that disrupts or interferes with the Platform's functionality.
6. Fees and Payments
a. Service Fees
Use of certain services on our Platform may be subject to fees. All fees are outlined on our Platform and are subject to change with reasonable notice.
b. Payment Terms
You agree to pay all fees and charges associated with your account on a timely basis. All payments are due in USD and are non-refundable unless stated otherwise.
7. Intellectual Property Rights
a. Ownership
All content, features, and functionality on the Platform—including text, graphics, logos, and software—are the exclusive property of Rifbid and are protected by intellectual property laws.
b. License
We grant you a limited, non-exclusive, non-transferable license to access and use the Platform for its intended purposes. You agree not to reproduce, distribute, or create derivative works from any part of the Platform without our prior written consent.
8. User-Generated Content
a. Content Ownership
You retain all rights to the content you submit, post, or display on or through the Platform.
b. License to Rifbid
By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and display such content in connection with operating and providing our services.
c. Content Responsibility
You are solely responsible for the content you submit and agree not to post content that is unlawful, defamatory, or infringes on the rights of others.
9. Privacy Policy
Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy at Privacy Policy.
10. Confidentiality
You may receive confidential information through your use of the Platform. You agree not to disclose such information to any third party without our prior written consent.
11. Disclaimers
a. "As-Is" Basis
The Platform is provided on an "as-is" and "as-available" basis. We make no warranties or representations regarding the accuracy or completeness of the content or services.
b. No Guarantee
We do not guarantee that the Platform will be secure or available at any particular time or location, or that any defects or errors will be corrected.
c. Third-Party Content
We are not responsible for any content posted by third parties on our Platform.
12. Limitation of Liability
To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform.
13. Indemnification
You agree to indemnify, defend, and hold harmless Rifbid, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, or expenses arising out of your use of the Platform or violation of these Terms.
14. Termination
We reserve the right to suspend or terminate your access to the Platform at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users or us.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Jamaica, without regard to its conflict of law provisions.
16. Dispute Resolution
Any disputes arising out of or relating to these Terms shall be resolved through negotiation in good faith. If unresolved, disputes shall be submitted to binding arbitration in accordance with the rules of the Jamaica International Arbitration Centre.
17. Changes to the Terms
We may update these Terms from time to time. We will notify you of any changes by posting the new Terms on this page with the updated "Effective Date." Your continued use of the Platform after any changes constitutes your acceptance of the new Terms.
18. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remainder of the Terms shall remain in full force and effect.
19. Entire Agreement
These Terms, along with our Privacy Policy, constitute the entire agreement between you and Rifbid regarding your use of the Platform.
